Terms and Conditions
Please read these before using Untunglah Pro
1. Agreement
These Terms are an agreement between you and ES Dot Net Enterprise (SSM 200303011713 (001391879-W)) ("we", "us") for your use of Untunglah Pro, the cloud accounting service at pro.untunglah.com.my (the "Service"). By signing in or creating a company you accept these Terms and our Privacy Policy. If you act for a business, you confirm you have authority to bind it.
The Service is provided to businesses and professionals for business purposes. It is not offered to consumers, and these Terms are not a consumer contract.
2. The Service
Untunglah Pro is accounting, invoicing and e-invoicing software for Malaysian SMEs. It records and reports the information you enter. It is software, not an accountant: it does not give tax, legal or financial advice.
Untung, our built-in assistant, answers questions about your books using an AI model provided by Google. It can only see what the signed-in person is permitted to see. Its answers are general information, not accounting, tax or legal advice, and they may be incomplete or wrong. Check important figures against your reports, and ask your accountant or tax agent before you rely on an answer for tax, filing, financing or other important decisions. Daily message limits apply and depend on your plan.
Reports, SST figures and tax-related summaries are produced from your data and are for your reference. Have a qualified accountant or tax agent review them before you rely on them or file anything. You are responsible for checking the validation result LHDN returns for each e-invoice, for cancelling or correcting an e-invoice within the period LHDN allows, and for deciding whether consolidated e-invoices apply to you.
3. Accounts and eligibility
- You must be at least 18 and able to enter into a contract.
- You sign in with a Google account and are responsible for its security and for everything done under it.
- The person who creates a company is its owner. Owners decide who else may access the company and what they can do, and are responsible for those users.
- Accountants and other users an owner invites are also bound by these Terms and the Privacy Policy. Accountant users are free of charge and do not count towards a plan's user limit.
- Give accurate company details, including the SSM number.
4. Plans and payment
Prices are in Malaysian Ringgit (RM). We are not currently registered for SST, so our prices do not include SST. If we become registered, we will tell you before SST is added to any invoice or receipt, as the law requires. The plans are:
| Plan | Users | Monthly price | Annual price (11 months) |
|---|---|---|---|
| Free | 1 user | RM0 | - |
| Starter | Up to 3 users | RM45 / month | RM495 / year |
| Pro | Unlimited users | RM129 / month | RM1,419 / year |
- A new company starts on the Free plan. You can move to a paid plan at any time, and we never charge you automatically.
- During the current preview period all features are free of charge. We will tell you by email or in the Service before charging begins.
- Annual billing costs 11 times the monthly price. Paid plans do not renew automatically: before a paid period ends we will remind you, and the plan runs until the end of the period you have paid for unless you renew.
- We may change prices or plan limits for future periods by giving you at least 30 days' notice by email or in the Service. A change does not affect a period you have already paid for.
Paid plans, when available, are billed through our payment provider, Curlec. Paid plans are prepaid for one month or twelve months and do not renew automatically, so there is nothing to cancel: a plan simply ends on the date shown in Settings > Billing unless you pay again, and we send you reminder emails before it ends. Monthly plans are not refunded. Annual plans are not refunded pro rata if you stop using the Service early. If we charge you by mistake, we will refund the amount within 14 days of you telling us. We will also refund any amount that the law requires us to refund.
If a paid plan lapses, your company goes back to the limits of the free plan. We do not delete your data just because a plan lapses, but see "Inactive companies" in section 7.
5. Acceptable use
You must not:
- use the Service for anything unlawful or to record fraudulent transactions;
- try to access another company's data, or break or overload the Service;
- copy, reverse engineer or resell the Service;
- scrape or bulk-extract data from the Service other than through the export features we provide;
- carry out security or penetration testing of the Service without our written permission;
- use the Service's email features to send spam or unsolicited messages, or to email people who have not asked to hear from you in connection with your business;
- try to make Untung ignore its rules, reveal other people's data or act outside its purpose;
- type into Untung sensitive personal data, other people's ID numbers, bank details or passwords, or anything you have no right to share;
- upload malicious files or content you have no right to share.
We may suspend access where these Terms are breached, where the law requires it, or where we reasonably believe an account or company is a security risk to the Service or to other users. Where we can, we will tell you why and restore access once the risk is resolved.
6. LHDN MyInvois
E-invoicing is optional. If you turn it on you connect your own MyInvois account, give us your LHDN credentials and authorise us to submit the documents you choose to submit. Submissions are made in your name with your credentials. You remain responsible for the content, timing and accuracy of every e-invoice, for checking LHDN's validation result, for cancelling or correcting within LHDN's allowed window, and for your own compliance with LHDN rules, including consolidated e-invoices. LHDN's systems are outside our control and we are not liable for their downtime or decisions.
7. Your data
Your data remains yours. You give us a limited licence to store and process it only to provide the Service to you.
A company owner, or a user with the Company settings permission, can export all of the company's data at any time from Settings > Company > Export all company data. Attachments over the export size budget are provided on request by email. Please keep your own records as Malaysian law requires; you are responsible for meeting record-keeping duties.
You are responsible for keeping your own copies of your data by exporting it regularly. We are not responsible for the loss, corruption or deletion of data, including loss caused by you or your users.
Deleting a company is immediate and permanent. We cannot and are not obliged to recover anything after you confirm. Export your data first.
Inactive companies: if no user of a company has signed in for 12 consecutive months, we may delete that company and its data. We will first email the company owner at the email address we hold, at least 30 days before deleting, so you have time to sign in or export your data. Signing in (by any user of the company) within that notice period stops the deletion. A company is not treated as inactive while it has a paid plan within its paid period. Deletion is permanent and works the same way as when an owner deletes a company, including the time the data may remain in our backups (see the Privacy Policy). We do not promise to keep your records for any period, so if the law requires you to keep accounting records for 7 years, keep your own copy: export it regularly, or upload and store it in your own system. The same applies to a sign-in account that belongs to no company: if it has not been used for 12 months, we may delete it after emailing its address at least 30 days beforehand, and signing in stops the deletion.
See the Privacy Policy for how deletion interacts with our backups.
8. Personal data you put in the Service
Your accounting records will contain personal data about other people, such as your customers, suppliers and staff. For that data you are the data controller and we are your data processor. We will process it only to provide the Service and on your documented instructions (these Terms and your use of the Service's features), keep it confidential, keep it secure as described in the Privacy Policy, and use only the sub-processors listed there.
You are responsible for having a lawful basis and any notices or consents needed to put that personal data into the Service, for the accuracy of the data, and for answering requests from the people concerned (we will reasonably help you). You must not enter sensitive personal data unless you need to and have the required consent.
If we become aware of a personal data breach affecting your company's data, we will tell the company owner without undue delay. When you delete a company or end your use, we delete the data as described in the Privacy Policy, including the time it may remain in our backups. You may export it first. On request, we will give you the information reasonably needed to show our compliance with this section.
9. Our intellectual property
The Service, its software, design and the Untunglah name and logo belong to us. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms. No other rights are granted.
10. Availability and backups
We work to keep the Service available but do not promise it will be uninterrupted or error free. There is no service level agreement and no service credits or refunds for downtime. We may carry out planned maintenance, and will try to give notice and to do it at quiet times. The Service depends on third-party infrastructure such as Supabase, Google Cloud and LHDN; outages of LHDN, Google or other providers are outside our control. We keep encrypted nightly backups of the whole Service for 35 days, for our own disaster recovery only. We may use them to try to bring the Service back after a major failure, but we do not promise that any data will be recovered. We do not restore or extract the data of an individual company or user from them, and we are not obliged to recover data that has been deleted or lost. They are not a substitute for your own exports.
11. Liability
To the extent the law allows, the Service is provided "as is". We are not liable for indirect or consequential loss, lost profit, or penalties (including penalties imposed by LHDN or any tax authority) arising from your use of the Service or from relying on its reports or on Untung's answers. We are not liable for lost, deleted or corrupted data.
Our total liability for all claims arising from the Service is limited to the greater of the fees you paid us in the 12 months before the claim and RM100. Nothing here limits liability that cannot be limited by law.
12. Indemnity
You will compensate us for loss, claims and reasonable costs that arise from content or data you put into the Service without the right to do so, from your breach of these Terms or the law, or from a claim by a person whose personal data you entered without a proper basis.
13. Events beyond our control
Neither of us is liable for failing to perform because of events beyond reasonable control, including power or internet failures, failures of third-party providers, natural disasters, war, government action or changes in law. This does not excuse a payment already due.
14. Ending your use
Company owners can delete a company at any time. We may suspend or end access for a serious or repeated breach of these Terms, for security risk, or if the law requires. Where we can we will give you a chance to export your data first: after a suspension, owners will normally have at least 14 days to export, unless the law or an urgent security risk prevents it. If we discontinue the Service we will give at least 60 days' notice by email and keep export available during that time.
15. Changes
We may change these Terms. We will email account owners or show a notice in the Service at least 14 days before material changes apply. Continuing to use the Service afterwards means you accept them.
We may add, change or remove features. If we remove a feature that you rely on in a paid plan, we will give you reasonable notice and a way to export your data.
16. General
- Assignment: you may not transfer your rights under these Terms without our consent. We may transfer ours to a successor of the business, and will tell you if we do.
- Severability: if a part of these Terms is unenforceable, the rest stays in force.
- Entire agreement: these Terms and the Privacy Policy are the whole agreement between us about the Service.
- Notices: we may give you notice by email to the address on your account or by a notice in the Service. You may give us notice at hello@untunglah.com.my.
17. Governing law
These Terms are governed by the laws of Malaysia and the courts of Kuala Lumpur have jurisdiction. If there is a dispute, please contact us first and give us 30 days to try to settle it informally before starting proceedings. If these Terms are translated, the English version prevails.
